Kabel Deutschland will hold its annual meeting on October 10 and the deal will then be subject to antitrust approval before it can be finalised.
Vodafone raised its offer for the German operator to 7.7 billion in June this year, and rival bidder Liberty Global is reportedly unlikely to match this.
Vodafone is also said to be discussing concerns over competition with the European Commission, and may decide to file for antitrust approval ahead of the meeting in October.
